Acceptance of terms
The action of the sending and receipt and/or viewing of this agreement via electronic method will hold both parties in acceptance of these terms. SOHO as sender and the client as recipient will acknowledge acceptance of these terms either through an e-mail noting acceptance or acceptance is acknowledged at the beginning of any work on said project. Electronic signatures shall be considered legal and binding.
We believe in incremental, repetitious means of managing projects. Working in iterations gives us many opportunities to evaluate and change the project during its development as well as keeping you informed and involved as the project progresses.
We break the “cake” down into more manageable slices. These slices are set as milestones with a deadline. An employee at SOHO is assigned this milestone and it is their responsibility to complete this task. Upon completion of the task, The work is then reviewed by the client. The review will result in a set of amends or sign-off.
Scope / Brief
The scope of the project is the work that needs to take place, or result with the specified features and functions.
If requirements are too subjective or are not completely defined and described, amendments will be inevitable, which will change the scope of the project.
All projects have 3 constraints:

One constraint cannot be changed without affecting the other two.
We will build a brief based on the information that you give us. This will define the scope of the project. You may request a copy of your projects brief at any time.
The fees and expenses shown are minimum estimates only unless an hourly fee has been agreed upon. SOHO will keep the client apprised of a tally of hours within a reasonable period of time. Final fees and expenses shall be shown when invoice is rendered. The fees and expenses shown are minimum estimates only unless the quote and/or invoice is clearly marked FIRM QUOTE, otherwise the below stated hourly fee will be payable on all time over that which was quoted with a minimum in 30 minute increments.
Any additions, alterations, changes in content, layout or process changes requested by the client, will alter the scope, time and the cost of the project. This will constitute a change to the brief and therefore we will have to amend the quote. SOHO will advise you in advance of new costs and you can agree them before we begin any new work.
Once final payment has been made, the project is considered complete and signed off. Before you make the final payment, please check your project thoroughly as any amendments past this point will incur ADDITIONAL COSTS.
Before SOHO starts any project work, a deposit is required. For projects that will take 8 or more weeks, we charge a 33% deposit. For projects that will take less than 8 weeks we charge a 50% deposit.
You agree to reimburse SOHO for all expenses arising from the project, including the payment of any sales taxes (e.g. VAT) due on this assignment.
The Client, agrees to advance SOHO for payment of said expenses, including but not limited to:
A £50 admin fee is payable on all overdue balances for reissuing each invoice at 35, 60, 75 and 90 days from the date of original invoice. Accounts with overdue invoices will result in immediate suspension of all work on their account. You have 7 days from reciept of invoice to dispute any part of the invoice. We reserve the right to pass on overdue payments to our debt collection agency.
Basecamp is our online project management software. We use it to communicate messages, files, tasks and deadlines with our clients, to ensure the best service possible when undertaking projects. Clients are also able to add files for projects and make comments one SOHO’s work as part of the amendment process. There is NO FEE for use of this service.
The only method of project management that we guarantee responses through is via Basecamp – we will reply to email but cannot guarantee the same great communication as we would via Basecamp.
The Client can choose to manage your own hosting and domains (based on our specification), or we can manage this for you.
SOHO does not host any work on internal servers and all work is hosted on trusted 3rd party servers. We cannot take responsibility for mistakes made by the 3rd party. However, as part of the management fee, we will manage any problems for you. If we manage hosting and/or domains for you, we will bill you 30 days before payment is due.
SOHO does not print in-house. We have preferred suppliers that we can manage on your behalf. We charge a print management fee for this service to take into account the time spent ensuring the best results possible for your print project. This is charged at our hourly rate.
You have the option to receive a print-ready file from us so that you can get your project printed elsewhere. If you decide to get your project printed at a printer of your choice, it is your responsibility to give us the print specification from your printer. If you don’t know what these print specifications are, please ask SOHO and we will advise you of what to ask your printer. We will not guarantee the print result if you use your own printer.
In the event of cancellation of a project, ownership of all copyrights and the original artwork shall be retained by SOHO, and you will be required to pay a cancellation fee for work completed, and expenses already incurred. The cancellation fee is based on the hours submitted, if the project is on an hourly basis or a percentage based on the time estimate for the entire job. A 100% cancellation fee is due once the project has been finished, whether delivered to the client or not. The client agrees to pay no less than 100% of the hours already billed for the project at the time of cancellation plus a flat fee of £250 or 50% of the remaining hours that were expected to be completed on the project, whichever is greater.
SOHO retains ownership of all original work, whether preliminary or final, and you will return or destroy such work within 30 days of use unless indicated otherwise below. If you would like complete ownership of all rights, there may be an additional fee. If you wish to own the rights to a specific design or concept, these may be purchased at any time for an extra cost - please ask if you’d like to know more.
Limitation of liability
The Client agrees that it shall not hold SOHO or his/her agents or employees liable for any incidental or consequential damages that arise from SOHO’s failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused intentional or negligent acts or omissions of SOHO or Client, any client representatives or employees, or a third party.
